  14. 1. Definitions
  15. In these Terms and Conditions the following words have
  16. the meanings given:
  17. CD-ROM the CD-ROM with the functionality set
  18. out in the ``Help Text'' or user
  19. documentation;
  20. Derivative work any work which incorporates a
  21. substantial portion of any published
  22. material from any Work, whether or not
  23. authorised by this or any other
  24. License;
  25. Internet the world-wide publically-accessible
  26. network of inter-linked computers;
  27. Intranet a company-wide network of computers,
  28. accessible by company employees but
  29. protected from enquiry from internet
  30. users and public dial-in access;
  31. Licensee the company/organisation/individual to
  32. whom the CD-ROM is supplied;
  33. Re-publication the act of re-publishing whether or
  34. not the new work is made public;
  35. Re-publish to reproduce or make available
  36. publicly or otherwise the text, design
  37. or graphic material from any Work,
  38. whether or not in a form or on a
  39. medium different from that in or on
  40. which it was supplied by The Open
  41. Group;
  42. Work any data on the CD-ROM;
  43. The Open Group The Open Group, Apex Plaza, Forbury
  44. Road, Reading, Berkshire, RG1 1AX,
  45. United Kingdom.
  46. 2. Right of Use
  47. The Licensee shall have the right to use the Works
  48. contained on the CD-ROM for any purpose, subject to
  49. the limitations of these Terms and Conditions on Re-
  50. publication. Furthermore, the Licensee shall have the
  51. right:
  52. a. to store and have the CD-ROM stored in
  53. electronic form on one computer at a time,
  54. subject to the waiver set out in Clause 4;
  55. b. to display the contents of the CD-ROM on a
  56. computer screen; and
  57. c. for the Licensee's internal use only, to produce
  58. paper copies of limited parts of any Work, as
  59. provided within the functionality of the
  60. software.
  61. For the avoidance of doubt, nothing in these Terms and
  62. Conditions shall entitle the Licensee to use the Work
  63. in any way other than for the Licensee's own internal
  64. business purposes, nor to disclose the Work to any
  65. third party.
  66. Where any Work is subject to the copyright of any
  67. person other than The Open Group (``a joint
  68. publication'') the rights set out here are subject to
  69. any further conditions or limitations prescribed in
  70. respect of that Work (as set out therein) in order to
  71. protect the rights of that other copyright owner.
  72. Where more than one CD-ROM is supplied under this
  73. Agreement, these rights shall apply separately in
  74. respect of each CD-ROM.
  75. 3. Restrictions in Liability
  76. THE OPEN GROUP ACCEPTS LIABILITY UP TO A LIMIT EQUAL TO THE
  77. PRICE PAID FOR THE CD-ROM. THERE SHALL BE NO LIMIT TO
  78. ANY LEGAL LIABILITY FOR ANY DEATH OR PERSONAL INJURY.
  79. 4. Use of html files
  80. Files ending in the extension .htm or .html are intended for
  81. viewing by intranet browser software. Implicit in this
  82. method of browsing is the concept that the files may
  83. be viewed simultaneously by users on remote computers
  84. or consoles. It is permitted that the .htm/.html files on
  85. the CD-ROM be simultaneously accessed by two or more
  86. computers or consoles at any given time, provided that
  87. the users of those computers or consoles are employees
  88. of the Licensee.
  89. The Licensee shall not be permitted to distribute the
  90. CD-ROM .htm/.html files (or any other files on the CD-ROM)
  91. onto the Internet without prior written permission of
  92. The Open Group.
  93. 5. Re-publication
  94. Save as set out above or as separately agreed, the
  95. Licensee shall have no right to Re-publish or
  96. distribute the CD-ROM or its contents in any way or on
  97. any medium whatever.
  98. 6. Termination
  99. Either party may by written notice forthwith terminate
  100. this Agreement if the other party commits any material
  101. breach of these Terms and Conditions and fails to
  102. remedy it within a reasonable period after receiving
  103. written notice from the other party; the other party
  104. suffers distress or execution, commits an act of
  105. bankruptcy, goes or is put into liquidation (otherwise
  106. than solely for the purpose of solvent amalgamation or
  107. reconstruction), or seeks any form of protection
  108. against its creditors from any competent Court or
  109. Tribunal; or a receiver or administrative receiver is
  110. appointed over any substantial part of the other
  111. party's business.
  112. Upon termination under this Clause or otherwise, the
  113. Licensee shall within one month deliver up any
  114. materials or equipment, including any special computer
  115. programs or electronic media supplied by The Open
  116. Group and shall certify that all copies (in electronic
  117. or other form) derived from the CD-ROM have been
  118. destroyed.
  119. Termination of this Agreement (however occurring)
  120. shall not affect any accrued rights or liabilities of
  121. either party nor shall it affect the coming into force
  122. or the continuance in force of any provision which is
  123. expressly or by implication intended to come into or
  124. continue in force on or after such termination.
  125. 7. Disputes
  126. These Terms and Conditions shall be construed in
  127. accordance with the law of England and Wales. Any
  128. dispute arising under or in connection with these
  129. Terms and Conditions shall be referred to arbitration
  130. before a sole arbitrator to be appointed jointly or,
  131. in default of agreement, to be appointed by the
  132. President of the British Computer Society.
